LIMITED WARRANTY

PRECISION AIR POWER LLC

OVERHAULED PISTON AIRCRAFT ENGINE


LIMITED WARRANTY


Precision Air Power LLC (“Precision”) warrants each Precision overhauled piston aircraft engine to be free from defects in materials and workmanship for a period of twelve (12) months or 500 hours, whichever occurs first (the “Warranty Period”). Included in this limited warranty (the “Warranty”) are Precision overhauled cylinders, if installed and delivered by Precision at time of engine overhaul. This Warranty is a limited warranty that covers parts and labor costs and is subject to the terms, conditions, exclusions, and limitations as set forth herein. This Warranty is intended for aviation industry use and is not intended to create a consumer product warranty, to the maximum extent permitted by applicable law.


TERMS


1. This Warranty becomes active on the date the engine is first operated or thirty (30) days after Precision’s invoice date, whichever comes first. Upon activation, this Warranty runs continuously for the Warranty Period, regardless of any warranty claim(s).


2. This Warranty is transferable from one Owner (defined below) to another for the duration of the Warranty Period on condition that the new owner submits proof of ownership in writing to Precision within thirty (30) days of acquiring ownership of the overhauled engine. “Owner” means the purchaser or lawful owner of the Precision overhauled engine.


3. Precision’s obligation under this Warranty is limited to Precision’s cost to repair or replace any Precision overhauled engine or engine component or part included in the Precision engine overhaul, plus labor costs associated with repairs or replacement in accordance with Precision’s warranty labor rates in effect at time of claim.


4. Precision, in its reasonable judgment, exercised in good faith, will determine whether a Precision overhauled engine or engine component or part included in the Precision engine overhaul is defective in material or workmanship.


5. Precision reserves the right, at its option, to replace any Precision overhauled engine or engine component or part included in the Precision engine overhaul with either a new, rebuilt, overhauled, or serviceable engine, engine component, or part.


6. The repair of or replacement of any Precision overhauled engine or engine component or part included in the Precision engine overhaul shall not extend the period of warranty coverage set forth herein. For example, if, after six (6) months and 250 hours, a replacement part is installed and covered under this Warranty, that replacement part will be warranted for the balance of the original overhauled engine Warranty Period, which would be an additional six (6) months or 250 hours, whichever occurs first; the replacement part would not be warranted for an additional twelve (12) months or 500 hours.


7. Notice of warranty claim must be made to Precision in writing within ten (10) days after the defect in material and/or workmanship is discovered or reasonably should have been discovered, and prior to any work being performed. This notice of warranty claim must include a detailed written description, photos (as appropriate), and photocopies of applicable logbook entries.


8. Before receiving warranty coverage, Precision or its agents may require that you or your maintenance provider respond to questions designed to assist with diagnosing potential issues, and you or your maintenance provider must follow Precision's directions for obtaining warranty coverage. You or your maintenance provider may be required to ship the suspect part or the entire engine back to Precision, and you or your maintenance provider may also be required to return additional components, documents, or photographs necessary to evaluate the claim. Any shipment of parts or engines to Precision shall be at the Owner’s risk of loss unless otherwise agreed in writing by Precision. If you or your maintenance provider fail to comply with these requirements, Precision may, at its reasonable option, deny your warranty claim.


9. Precision may authorize your maintenance provider to provide warranty services. However, services provided by your maintenance provider will only be covered under this Warranty if your maintenance provider receives written approval from Precision to provide specific warranty services at a pre-established rate prior to providing the warranty services. 


10. Precision reserves the right to require prepayment for warranty replacement parts when a warranty claim is made for a vendor supplied part. These parts’ costs, less the cost of shipping, will be refunded when the warranty is approved by the vendor. Any such refund shall be issued only after Precision receives payment from the applicable vendor.


CONDITIONS


1. The engine has been properly installed in an aircraft that is current and complies with all Federal Aviation Administration (FAA) Airworthiness Directives and applicable service bulletins issued by the aircraft manufacturer or any accessory or component manufacturer.


2. The Precision overhauled engine is operated within 60 (sixty) days of shipment from Precision.


3. The Precision overhauled engine is broken-in in accordance with the engine manufacturer’s break-in instructions.


4. The engine is properly maintained as per the OEM’s instructions and subsequent Service Letters, Bulletins, and FAA Airworthiness Directives.


5. The engine, including Precision overhauled cylinders, if included with the overhaul, has been operated correctly with accurate, calibrated instruments and has not been subject to misuse, neglect, accident, corrosion, pre-ignition/detonation, cylinder glazing, stuck or burned cylinder valve(s), operation with non-calibrated engine gauges, non-approved fuel and oil grades or additives, improper fuel system adjustment, or lack of preventive maintenance as prescribed by the OEM including compliance with all FAA Airworthiness Directives and Manufacturer’s Service Bulletins.


6. All logbooks are accurate and up to date.


EXCLUSIONS


1. OEM and/or Parts Manufacturer Approval (PMA) cylinder assemblies are excluded from this Warranty as they are subject to separate cylinder warranties as provided by the cylinder manufacturer.


2. Engine accessory components including, but not limited to, magnetos, ignition harnesses, spark plugs, starters, carburetors, turbochargers and fuel control systems as provided by Precision as parts of the Precision engine overhaul are excluded from this Warranty as they are subject to each individual accessory manufacturer’s separate warranty. Accessories overhauled by Precision are covered by this Warranty during the Warranty Period. Precision shall have no responsibility for compatibility, integration, or performance issues arising from accessories not overhauled by Precision.


3. Cracked cylinders and crankcases are excluded from this Warranty unless it is determined by Precision, in its reasonable judgment, exercised in good faith, that the damage is a direct and proximate result of improper workmanship by Precision. 


4. Parts or accessories purchased by the Owner (“Owner Purchased Parts”) for use in overhauling the engine are excluded from this Warranty and any damage caused to the engine or other parts or accessories by Owner Purchased Parts is not covered under this Warranty.


5. Precision will be relieved of all obligations and liability under this Warranty if the Precision overhauled engine, engine parts, or accessories have been improperly installed, adjusted, stored, handled, repaired, maintained, altered, damaged during shipping, damaged by acts of nature (e.g., earthquakes; floods; volcanoes; ingestion of dust, dirt, or debris; etc.) or operated contrary to the aircraft flight manual, current manufacturer’s, or Precision’s recommendations, including but not limited to engine RPM, temperature, manifold pressure, fuel flow and proper system adjustment.


6. This Warranty does not apply to any engine, component, or part damaged or worn as a result of installation of components, parts, or accessories that alter the engine's original type design.


7. This Warranty does not cover normal maintenance services (such as engine tune-ups, adjustments, or inspections), engine or component overhaul in accordance with the published TBO, or the replacement of normal service items (such as spark plugs, filters, hoses, and belts etc.).


8. Shipping, shipping services, shipping damages, expediting costs, import duties, V.A.T., and any other related or similar fees are not included in this Warranty.


9. Any sales tax, duties, or charges of any kind required by any state, province or country other than the State of Utah is the responsibility of the purchaser and not the responsibility of Precision.


10. Warranties will not be granted for trouble-shooting, or removal and installation of engines or components or accessories for normal routine maintenance, inspections, or adjustments.


11. Precision shall not be responsible for any incidental expenses including but not limited to downtime, travel costs, aircraft storage or rental associated with loss of use due to warranty conditions.


12. Costs associated with technical assistance or instruction provided by Precision, including parts, labor, and transportation of products or components sent to Precision for trouble-shooting are not covered by this Warranty absent a warrantable defect.


13. Precision assumes no obligation for work accomplished at a facility other than its own unless prior written authorization is granted by Precision.


14. Precision accepts no liability for any remedies set forth by the FAA or manufacturers of failed part(s) including recalls, service letters, service bulletins, or Airworthiness Directives that are issued after the Precision overhauled engine, engine parts or accessory component has been shipped from the Precision facility except to the extent such remedies are directly caused by Precision’s defective workmanship.


WARRANTY LIMITATIONS SUBJECT TO CONSUMER LAW


1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRECISION DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR AGAINST HIDDEN OR LATENT DEFECTS, EXCEPT FOR THE EXPRESS LIMITED WARRANTY SET FORTH HEREIN. THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION ON THE FACE HEREOF. IN SO FAR AS SUCH WARRANTIES CANNOT BE DISCLAIMED AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, PRECISION LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE DURATION OF THIS EXPRESS WARRANTY AND, AT PRECISION'S OPTION, THE REPAIR OR REPLACEMENT COVERAGE DESCRIBED HEREIN. 


LIMITATION OF LIABILITY


1. YOUR SOLE REMEDY FOR A BREACH OF THIS WARRANTY OR ANY DEFECT IN YOUR OVERHAULED ENGINE IS AS PROVIDED BY THIS WARRANTY. THIS WARRANTY IS A WARRANTY TO REPAIR OR REPLACE AND IS NOT A WARRANTY OF THE CONDITION OR FUTURE PERFORMANCE OF THE PRODUCTS WHICH IT COVERS. IN NO EVENT WILL PRECISION BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR SPECIAL DAMAGES, OR UNDER ANY OTHER LEGAL THEORY, INCLUDING BUT NOT LIMITED TO LOSS OF USE; LOSS OF REVENUE; LOSS OF ACTUAL OR ANTICIPATED PROFITS (INCLUDING LOSS OF PROFITS ON CONTRACTS); LOSS OF THE USE OF MONEY; LOSS OF ANTICIPATED SAVINGS; LOSS OF BUSINESS; LOSS OF OPPORTUNITY; LOSS OF GOODWILL; OR LOSS OF REPUTATION, DAMAGE TO THE ENGINE OR OTHER PROPERTY (INCLUDING THE AIRCRAFT IN WHICH THE OVERHAULED ENGINE IS INSTALLED), COSTS RESULTING FROM REQUIRED MODIFICATIONS TO ENGINE COMPONENTS AND ASSEMBLIES, CHANGES IN RETIREMENT LIVES AND OVERHAUL PERIODS, LOCAL CUSTOMS FEES AND TAXES, COST OF RENTAL AIRCRAFT, FUEL, TELEPHONE, TRAVEL, MEALS, LODGING, DAMAGE RELATED TO GROUNDING OF AIRCRAFT, AND COMMERCIAL LOSSES OR LOST PROFITS DUE TO LOSS OF USE OF ANY AIRCRAFT. PRECISION'S TOTAL LIABILITY FOR ANY AND ALL CLAIMS RELATED TO ANY OVERHAULED ENGINE SHALL IN NO CASE EXCEED THE ORIGINAL SALES PRICE OF THE OVERHAULED ENGINE. ANY ACTION FOR BREACH OF THIS WARRANTY MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES TO THE EXTENT PERMITTED BY APPLICABLE LAW. 


2. Any action or proceeding arising under this Warranty (or the sale giving rise to such Warranty), however founded, and whether in law or equity, shall be brought before the federal courts of the United States or the courts of the State of Utah in each case located in Salt Lake City, Utah, which shall have exclusive jurisdiction to hear such action or proceedings to the extent permitted by applicable law.


3. This Warranty gives its holder specific legal rights. It is governed by and construed under the laws of the State of Utah. The warranty holder may also have other legal rights that vary by state, province, or jurisdiction. Likewise, some of the limitations in this Warranty may not apply in certain states, provinces, or jurisdictions. The terms of this Warranty will apply to the extent permitted by applicable law.


4. No Precision agent or employee is authorized to make any modification, extension, or addition to this Warranty. If any term is held to be illegal or unenforceable, the legality or enforceability of the remaining terms shall not be affected or impaired. Precision or its successor in title is the warrantor under this Warranty.
