FLIGHT TEST AND BREAK‑IN ADDENDUM

(to Precision Air Power LLC Terms and Conditions)

This Flight Test and Break‑In Addendum (“Addendum”) supplements the Precision Air Power LLC Terms and Conditions (“Terms”) and applies only when expressly incorporated into an applicable Work Order in accordance with the Terms.

All capitalized terms not defined in this Addendum have the meanings set forth in the Terms, including Aircraft, Components, Customer, Repair Station, Services, and Work Order.

This Addendum applies only to Services that include flight testing, engine break‑in flights, post‑installation testing, or other operational testing requiring operation of the Aircraft (collectively, “Test Operations”).

In the event of any conflict, this Addendum controls solely with respect to Test Operations.

1. Assumption of Risk; No Guarantee

Customer acknowledges and agrees that Test Operations performed as part of the Services involve inherent risks, including mechanical failure, damage to the Aircraft or Components, loss of use, and total loss, even when Test Operations are performed in a workmanlike manner and in compliance with applicable FAA regulations.

Customer further acknowledges that Repair Station does not guarantee the outcome, performance, airworthiness, or results of any Test Operations, including engine break‑in flights.

2. Allocation of Responsibility

Except to the extent caused by the gross negligence or willful misconduct of Repair Station, Repair Station shall not be responsible or liable for damage to the Aircraft, any Component, engine, propeller, or accessory arising out of or relating to Test Operations.

Customer agrees that Test Operations are performed at Customer’s risk, subject to the express limitations set forth in the Terms and this Addendum.

3. Indemnification — Test Operations

In addition to Customer’s indemnification obligations under Section 20 (Indemnification) of the Terms, Customer shall indemnify, defend, and hold harmless Repair Station and its owners, officers, directors, employees, agents, and representatives from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to Test Operations, except to the extent finally determined to have been caused by the gross negligence or willful misconduct of Repair Station.

Nothing in this Addendum limits or modifies Customer’s broader indemnification obligations under the Terms.

4. Consequential Damages

Without limiting Section 20 (Indemnification) and Section 22 (Limitation of Liability) of the Terms, Repair Station shall not be liable for loss of use, loss of revenue, lost profits, diminution in value, or other consequential, incidental, or special damages arising out of or relating to Test Operations.

5. Insurance; Risk of Loss

Customer’s insurance obligations and allocation of risk of loss with respect to Test Operations are governed exclusively by Section 21 (Insurance and Risk of Loss) of the Terms, which is incorporated herein by reference and applies fully to all Test Operations.

Nothing in this Addendum shall be construed to: (i) shift insurance responsibility to Repair Station, (ii) limit Customer’s obligations under Section 20 or section 21 of the Terms, or (iii) waive or impair Repair Station’s lien, retention, or collection rights under the Terms.

6. No Waiver of Payment or Lien Rights

Nothing in this Addendum shall be construed to waive, release, or limit Repair Station’s rights under the Terms, including rights to: (i) payment for Services, (ii) storage charges, (iii) statutory or contractual liens, or (iv) suspension, retention, or enforcement remedies.

7. Relationship to Terms

This Addendum supplements and must be read together with the Terms. Except as expressly modified herein with respect to Test Operations, all provisions of the Terms remain in full force and effect.
