30‑DAY ENGINE OVERHAUL COMMITMENT ADDENDUM

(to Precision Air Power LLC Terms and Conditions)

This 30-Day Engine Overhaul Commitment Addendum (“Addendum”) supplements the Precision Air Power LLC Terms and Conditions (“Terms”) and applies only when expressly incorporated into an applicable Work Order in accordance with the Terms.

All capitalized terms not defined in this Addendum have the meanings set forth in the Terms. In the event of any conflict, this Addendum controls solely with respect to the 30-Day Engine Overhaul Commitment.

For purposes of this Addendum, 30-Day Engine Overhaul Commitment (the “Commitment”)means the conditional turnaround‑time commitment described in this Addendum and not a warranty or guarantee of airworthiness, performance, reliability, or suitability beyond regulatory approval for return to service.

1. Applicability; Limited Availability

The Commitment applies only when: (i) expressly offered by Repair Station, (ii) expressly accepted by Customer in writing, and (iii) expressly referenced on the applicable Work Order.

The Commitment is subject to limited availability, may be restricted to specific engine models, and may be offered on a first‑come, first‑served basis, with priority given to long‑term or repeat customers, as determined by Repair Station in its reasonable discretion based on operational capacity, scheduling, and workload considerations.

2. Scope of Commitment

Subject to the terms of this Addendum and the Terms, Repair Station guarantees that a qualifying engine overhaul will be completed and released from Repair Station’s facility within thirty (30) calendar days, measured from shop arrival to shop departure, following completion of all required inspections and regulatory approvals for return to service.

The Commitment applies only to Lycoming four‑cylinder engines expressly approved by Repair Station for the program, including without limitation: O‑320, IO‑320, O‑360, IO‑360.

Repair Station reserves the right to determine, on a per‑engine basis, whether the Commitment applies or whether an alternative guaranteed timeline will be offered, provided that any such determination shall not waive or modify applicable regulatory requirements.

3. Conditions Precedent

The Commitment is conditioned upon all of the following: (a) Customer pays a deposit equal to fifty percent (50%) of the estimated charges no later than fourteen (14) days prior to Repair Station’s receipt of the engine; (b) Customer provides complete, accurate, and timely information and approvals as required under the Terms; (c) No delays occur due to causes beyond Repair Station’s reasonable control; (d) No unairworthy standard or non‑mandatory replacement components are discovered, as described below; and (e) Customer pays all undisputed final amounts due in full immediately upon invoicing and in any event prior to release, shipment, or pickup of the overhauled engine.

Failure to satisfy any condition precedent renders the Commitment null and void.

4. Inspection and Repair as Necessary (IRAN)

All overhauls performed under this Addendum are conducted on an Inspection and Repair as Necessary (IRAN) basis in accordance with the Terms.

If, during inspection, teardown, or overhaul, a standard or non‑mandatory replacement component is found to be worn, damaged, cracked, unairworthy, or otherwise unsuitable for continued service — including without limitation crankcases, crankshafts, accessory cases, oil pans, or similar items — the Commitment shall be automatically null and void.

In such event, Repair Station shall proceed in accordance with the Terms and provide an updated estimated timeline.

5. Delays Beyond Control; Suspension of Commitment

The Commitment is expressly contingent upon the absence of delays beyond Repair Station’s reasonable control, including without limitation: (i) parts availability or manufacturer backorders, (ii) discovery of unairworthy components, (iii) regulatory or airworthiness requirements, (iv) required inspections or approvals, (v) shipping or transportation delays, (vi) labor disruptions, or (vii) other causes beyond Repair Station’s reasonable control.

If completion of the overhaul is delayed due to any such cause, the Commitment shall be suspended or rendered void for the duration of the delay, and no price reduction, discount, credit, or other compensation shall apply.

6. Price Adjustment for Delay (If Applicable)

If, and only if, the Commitment remains valid and no delays beyond Repair Station’s reasonable control occur, Repair Station shall apply a purchase price reduction of Two Thousand Dollars ($2,000) for each full two‑week period beyond the thirty‑day period.

No partial periods apply. No other damages, credits, offsets, or compensation shall be owed.

7. Taxes

All prices and discounts under this Addendum exclude sales and use tax. Applicable taxes shall be added to the final invoice unless Customer provides a valid Utah tax exemption certificate in accordance with the Terms.

8. No Expansion of Liability

Nothing in this Addendum shall be construed to: (i) expand Repair Station’s obligations beyond those set forth in the Terms; (ii) guarantee airworthiness, performance, or suitability beyond regulatory approval for return to service; or (iii) modify the indemnification, limitation of liability, insurance, bailment, or risk‑of‑loss provisions of the Terms.

9. Relationship to Terms

This Addendum supplements the Terms. Except as expressly stated herein, all provisions of the Terms remain in full force and effect.
